Terms of Service
These Terms of Service form a binding agreement between you and C0nn3ct LLC. By accessing or using the C0nn3ct platform, websites, or services you agree to these Terms. If you do not agree, do not use the services.
Eligibility
You must be at least 18 years old and authorized to enter into a contract on behalf of yourself or the business you represent. By using the services you represent that you meet these requirements.
Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use or security breach.
Acceptable Use
You agree not to misuse the services. Prohibited conduct includes the following.
- Sending unsolicited commercial messages in violation of CAN-SPAM, TCPA, or state telemarketing and SMS laws
- Uploading content that infringes intellectual property, defames, harasses, or violates privacy rights
- Attempting to interfere with, disrupt, or gain unauthorized access to the platform or networks
- Using the services for unlawful, fraudulent, deceptive, or harmful purposes
- Reverse engineering, decompiling, or extracting source code except as permitted by applicable law
Subscriptions, Fees, and Billing
Fees are described in your order form or pricing page and are billed in advance on a recurring basis unless otherwise agreed. All fees are non-refundable except as required by law or expressly stated in writing. You authorize us to charge your designated payment method for all fees.
Customer Content
You retain all rights in the content you submit through the services. You grant C0nn3ct a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display your content solely to provide and improve the services.
Intellectual Property
The C0nn3ct platform, software, brand, and all related intellectual property are owned by C0nn3ct LLC and its licensors. No rights are granted except as expressly set forth in these Terms.
Third-Party Services
The platform may integrate with third-party services. Your use of those services is governed by their terms. C0nn3ct is not responsible for third-party services and disclaims all liability arising from them.
Disclaimers
The services are provided on an as is and as available basis without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement to the maximum extent permitted by law.
Limitation of Liability
To the maximum extent permitted by law, C0nn3ct and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our aggregate liability for any claim arising out of or related to the services will not exceed the fees paid by you to C0nn3ct in the 12 months preceding the claim.
Indemnification
You agree to defend, indemnify, and hold harmless C0nn3ct LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the services, your content, or your violation of these Terms or applicable law.
Termination
You may terminate your account at any time. We may suspend or terminate access for violation of these Terms, non-payment, or other lawful reasons. Sections that by their nature should survive termination will survive.
Governing Law and Venue
These Terms are governed by the laws of the State of Delaware without regard to its conflict of laws principles. Subject to the arbitration section, the state and federal courts located in Delaware will have exclusive jurisdiction.
Arbitration and Class Action Waiver
Any dispute arising out of or related to these Terms or the services will be resolved through binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. You and C0nn3ct waive the right to a jury trial and to participate in any class, collective, or representative action. This section does not apply to claims for injunctive relief to protect intellectual property.
Changes to These Terms
We may modify these Terms from time to time. Material changes will be communicated by posting the updated Terms with a new effective date and where required by law through direct notice. Continued use of the services after the effective date constitutes acceptance.
